# GoPro’s $285M Deal Pivots Toward AI Optics

GoPro is proposing a far broader change than a conventional rescue deal. The action-camera company said September 1 that it has entered a definitive merger agreement with privately held optical-photonics company Starman Optical. The arrangement would bring cash to GoPro shareholders, retire the company’s debt at closing and add a U.S.-made optical-transceiver operation to a business long associated with cameras and creator footage.

It is an unusual wager: preserve the consumer brand while using GoPro’s imaging and optics intellectual property as a platform for a second business aimed at AI data centers, government, defense, robotics and aerospace. The transaction is proposed, not completed, and investors still have an important vote ahead.

## What the GoPro Starman Optical merger would do

Under the companies’ [September 1 announcement](https://investor.gopro.com/press-releases/press-release-details/2026/GOPRO-ENTERS-INTO-DEFINITIVE-AGREEMENT-TO-MERGE-WITH-STARMAN-OPTICAL-INC-/default.aspx?ref=unhyd.com), GoPro shareholders would receive an aggregate cash payment of $285 million, or $1.14 per share, subject to an adjustment tied to GoPro’s net working capital at closing. They would also retain approximately 10% of the outstanding shares of the company after the transaction. The company says its roughly $92 million of outstanding debt would be repaid in full at closing.

GoPro would remain publicly listed on Nasdaq rather than disappear into a private buyer. Its board and Starman’s board have approved the merger, but the deal remains subject to GoPro shareholder approval, regulatory approvals and other customary conditions. The companies expect a closing by the end of 2026\. That structure matters. This is not simply a new product partnership or a rebranding exercise. If the conditions are met, current GoPro holders would have a smaller continuing stake in a company with a different capital structure and a wider stated remit.

## Why AI data-center optics are central to the pitch

Starman makes optical transceivers in the United States. Those components convert between electrical and optical signals in networking equipment, moving data over fiber links. In the companies’ framing, adding that capability would give GoPro a route into the hardware supporting AI infrastructure, while its existing optics and imaging capabilities could be applied across commercial and strategic markets.

The logic reflects a basic pressure in AI build-outs: more computing capacity also requires faster, denser networking between systems. That does not make GoPro an AI-infrastructure company overnight. The announcement does not disclose revenue targets, integration milestones, customer contracts or a timetable for the proposed expansion. Those omissions are consequential, because the value of the strategy will depend on execution after the merger rather than on the existence of the transceiver business alone.

Independent reporting adds context on the starting point. It also reported that the stock rose more than 50% after the deal was announced. That reaction may signal interest in the new direction, but it should not be read as proof that the transaction will close or that the operating plan will succeed.

## The camera business is staying—for now

GoPro says it will continue to support its existing consumer products, subscription business and cloud platform while investing in growth. That is a material distinction from a plan that exits cameras outright. The company is asking investors to assess a hybrid proposition: an established consumer-imaging brand paired with a proposed expansion into optical hardware for data centers and strategic industries.

For readers following the infrastructure side of AI, the deal is another reminder that the investment cycle extends beyond chips and model providers. Networking and optical components are essential to moving the data those systems process. The next useful documents will be the proxy materials that GoPro says it intends to file with the Securities and Exchange Commission. They should offer more detail on the merger process, shareholder interests and the terms investors will vote on. Until then, the announced year-end timing, debt repayment and AI-infrastructure ambitions remain forward-looking and conditional.
